ExactMedex welcomes you to our website as long as you have read, understood, and agreed to these Terms and Conditions of Use. We welcome you to use our EHR, which is free of cost. If you are an existing client, you can use DocuHub to manage your documents along with using our EHR.

Connection to other Agreements:

If you have signed another agreement with ExactMedex, the terms and conditions of that agreement(s) administer in the scenario of a direct conflict between said agreement(s) and the terms and conditions. However, if the terms and conditions do not directly conflict with the terms and conditions of another agreement between you and ExactMedex, you are bound to follow the terms and conditions of www.ExactMedex.com

Denial:

Should you choose to use www.ExactMedex.com, you are doing so at your own risk. ExactMedex undertakes no liability for misuse of any data transmitted in connection with the use of www.ExactMedex.com that includes its content, services, hyperlinks, downloads, etc.

Limitation of Responsibility:

Security of Account login access:

To access ExactMedex services, you will be provided a unique username and password. You are exclusively responsible for all activities that happen under your account. You concur that you are bound to:

• Control the spreading and use of your password(s) and account name(s).
• Allow, monitor, and control access to and use of your account name(s) and passwords(s)
• Rapidly inform ExactMedex if you need to deactivate your account(s) and/or password(s)

You give ExactMedex and its staff involved in its operation the right to send, monitor, and use your information for the marketing of ExactMedex.

ExactMedex may have links to other websites or resources. We do not have control over such information and links. You acknowledge that ExactMedex is not responsible for the availability of such links and does not take any responsibility or liability for any content, advertising, products, or other materials available from such sites. Moreover, ExactMedex shall not be responsible for any damage or loss caused by those third-party links through any such site or resource.

Entire Agreement:

ExactMedex may revise and update terms and conditions anytime and your continued usage of www.ExactMedex.com will add up to an acknowledgment and acceptance of any such modifications.

Indemnification:

You agree to defend ExactMedex, its officers, employees, and licensors against any demands, liabilities, and settlements including reasonable legal and accounting fees leading result of your violation of the terms and conditions.

Choice of Law and Forum:

The terms and conditions shall be enforced by the laws of the King high court. The parties irrevocably agree that any action to enforce the provision of the terms and conditions shall be brought solely on the Superior Court of the new high court.

License and Rights Relative to Use of ExactMedex Services:

If you have signed the agreement with ExactMedex for using the software, it is your responsibility that you do not allow any third party to copy, modify, reverse assemble, or otherwise attempt to discover any source code, or sell it to any other.

You agree not to change the software in any way or form or to use modified versions of the software. It is your responsibility to ensure that your license to use the program is not misused by a third party. Your license to use the program terminates immediately under the following conditions:

• If you breach any rule, your license will be terminated without notice.
• If the agreement duration ends, the license will be terminated immediately.

Upon your violation of the terms and conditions, your license will be terminated and you must immediately cease all use of the Software, and remove all files and data from the devices where you have installed or copied it.

Method for Making Claims of Copyright Infringement:

If you think any content available on or from www.ExactMedex.com violate your copyright, you may appeal removal of those materials from us by contacting ExactMedex and providing the following information:

• Recognition of the copyrighted work or other theoretical property that you claim has been violated.
• Your name, address, telephone number, and e-mail address
• Proof of your authority to act on behalf of the claimed copyright holder.
• A sworn statement made under oath that the information that you have provided is accurate and that your protest is made in good faith.
• A signature from the copyright bearer or authorized person.

Repudiation and Severability:

The failure of ExactMedex to exercise or enforce any right or provision of the terms and conditions shall not constitute a waiver of such right or provision. If any provision of the terms and conditions is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should attempt to give effect to the parties' intentions as reflected in the provision, and the other provisions of the terms and conditions remain in full force and effect.

Law of Limitations:

Your agreement that despite any statute or law to the disobliging, any claim or cause of action arising out of or related to your use of www.ExactMedex.com or these terms and conditions must be filed within one year after such claim or cause of action emerged. If such a declaration or cause of action is not filed within one year time period, the request or cause of action shall be forever prohibited.
